Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Modiva.ai (“Modiva,” “we,” “us”), a multi-tenant platform that exposes external integrations through a unified API and Model Context Protocol (MCP) server. By creating an account or using the service, you agree to these Terms.
1. The service
Modiva lets you connect third-party accounts (such as TikTok, YouTube, and other supported platforms) and operate them through a single API and MCP endpoint — uploading content, reading insights, and managing comments and messages on your behalf. Available integrations and features may change over time.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use Modiva. You are responsible for the activity that occurs under your account and for keeping your credentials secure.
- Provide accurate registration information and keep it current.
- You are responsible for all use of any MCP key or API credential issued to your account.
- Notify us promptly of any unauthorized use or security incident.
3. Connected third-party accounts
When you connect a third-party platform, you authorize Modiva to access and act on that account through the platform’s official APIs, within the scopes you grant. Your use of each connected platform remains subject to that platform’s own terms and policies, including the TikTok Developer Terms, YouTube Terms of Service, and any others that apply. You are responsible for maintaining the necessary rights and permissions for content you publish or manage through Modiva.
4. Acceptable use
You agree not to use Modiva to:
- Violate any law or the terms of a connected platform.
- Send spam, post infringing content, or distribute malware.
- Attempt to access another tenant’s data, reverse engineer, or circumvent rate limits and security controls.
- Resell or expose the service in a way that breaches a platform’s API policies.
5. Plans, billing, and trials
Paid plans are billed per connected account as described on our pricing page. Fees are charged in advance and are non-refundable except where required by law. We may change pricing with prior notice; changes apply to the next billing cycle.
6. Your content and data
You retain all rights to the content and data you submit or that we retrieve from your connected accounts. You grant Modiva a limited license to process this content solely to provide the service. We handle personal data as described in our Privacy Policy.
7. Intellectual property
Modiva and its software, design, and trademarks are owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; no other rights are granted.
8. Disclaimers
The service is provided “as is” without warranties of any kind. We do not warrant that the service will be uninterrupted, error-free, or that third-party platforms will remain available or unchanged. Your use of the service is at your own risk.
9. Limitation of liability
To the maximum extent permitted by law, Modiva will not be liable for any indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
10. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate access if you breach these Terms or if required to protect the service or comply with a platform’s policies. On termination, your right to use the service ends and we may delete your data after a reasonable retention period.
11. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with an updated date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
